Welcome to GCMXchange! These Terms and Conditions ("Terms") govern your access to and use of the GCMXchange mobile application and website ("Platform"), which facilitates the trading of agricultural commodities. By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

1. Acceptance of Terms

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. These Terms constitute a binding legal agreement between you and Gezawa Commodities Market Exchange ("Company," "we," "us," or "our").

2. Description of Service

GCMXchange is an online marketplace that connects buyers and sellers of agricultural commodities. The Platform provides tools to list, bid on, and trade commodities. We are not a party to any transaction between a buyer and a seller. Our role is limited to providing the Platform and related services. We do not inspect, verify, or guarantee the quality, legality, or safety of any listed commodity.

3. User Accounts

• Registration: To use the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated.
• Account Security: You are responsible for safeguarding your password and for any activities or actions under your account. You must notify us immediately of any unauthorized use of your password or account.
• KYC Verification: You agree to complete a Know Your Customer (KYC) verification process as required by the Platform. Your access to certain features may be restricted until your KYC status is verified.

4. User Obligations

You agree not to:

• Use the Platform for any illegal or unauthorized purpose.
• Post or transmit content that is false, misleading, defamatory, or obscene.
• Engage in any form of fraudulent activity or manipulation of the market.
• Interfere with or disrupt the integrity or performance of the Platform.
• Circumvent any security measures or access controls.

5. Trading and Transactions

• Listings: Sellers are responsible for the accuracy and completeness of their commodity listings, including descriptions, quality, and pricing.
• Bids and Offers: Buyers are responsible for all bids and offers made through their accounts. All bids are binding.
• Disputes: Any disputes between buyers and sellers must be resolved directly between the parties. While we may offer dispute resolution tools, we are under no obligation to intervene.

6. Fees and Payments

The use of the Platform may be subject to fees, including but not limited to, transaction fees, subscription fees, or other service charges. All fees are non-refundable unless otherwise stated. By using the Platform, you agree to pay all applicable fees as they become due.

7. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of Gezawa Commodities Market Exchange or its licensors and is protected by intellectual property laws. You may not use, copy, or distribute this content without our express written permission.

8. Disclaimers of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Platform will be uninterrupted or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, Gezawa Commodities Market Exchange shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the Platform.
• Any conduct or content of any third party on the Platform.
• Any unauthorized access to or use of your account.
• Any transaction or relationship between a buyer and a seller.

10. Indemnification

You agree to indemnify and hold harmless Gezawa Commodities Market Exchange, its affiliates, and their respective officers, directors, agents, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Platform and updating the "Effective Date" at the top of this document. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
